Licensee shall not: (a) sell, sublicense, assign, rent, lease, loan, timeshare, give away, or otherwise transfer, distribute, or permit use of the Software by another party, unless Licen \hich\af1\dbch\af16\loch\f1 see transfers all copies of Software on a permanent basis and recipient agrees to the terms of this Agreement; (b) install or use single license Software on more than one computer at a time, (c) reverse engineer, de-compile, or reduce the Software progra \hich\af1\dbch\af16\loch\f1 m\hich\af1\dbch\af16\loch\f1 ming code to a human-perceivable form, (d) tamper with, disconnect, alter, or interfere with any equipment, device, or software designed to restrict or monitor use of the Software by Licensee, (e) merge the Software, or any part, into another program, (f) \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 use Software designated for development, demonstration, or evaluation for any other purpose, including, but not limited to, internal business use, or (g) solicit, hire, or employ any party known by licensee to be a current or previous Custom Speech USA em \hich\af1\dbch\af16\loch\f1 p\hich\af1\dbch\af16\loch\f1 loyee or independent contractor, without the express written consent of Custom Speech USA. NETWORK OR SERVER INSTALLATIONS: (a) If the Software is stored or installed to allow computers on a network to use or access the Software remotely, each computer \hich\af1\dbch\af16\loch\f1 o\hich\af1\dbch\af16\loch\f1 n the network which uses the Software must have a separate license, except that Software may be accessed by a non-licensed computer for testing, maintenance, support, or repair. (b) If the Software is for a server, it may be installed (i) on a standalone \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 basis, such that the Software and functions are accessible only to the standalone machine and persons who are physically present at the location of the single computer on which the Software and its client application are located, or (ii) on a network basi \hich\af1\dbch\af16\loch\f1 s\hich\af1\dbch\af16\loch\f1 , such that the Software and functions are accessible across a network. Every client computer that can access or use the server Software across the network must have its own separate client license. LICENSE PACK: Software use may be subject to (i) regi \hich\af1\dbch\af16\loch\f1 s\hich\af1\dbch\af16\loch\f1 tration or online activation, (ii) controls limiting use to a particular person, group, computer, or network, (iii) usage limits based on time period , number of times Software accessed by end-user or client application, or number of files or megabytes pr \hich\af1\dbch\af16\loch\f1 o\hich\af1\dbch\af16\loch\f1 cessed, or (iv) other controls. These controls, or any part thereof, may be contained within "license pack" or other such program as Custom Speech USA may use to limit or restrict access. OTHER AGREEMENTS: The License Agreement shall not be modified by \hich\af1\dbch\af16\loch\f1 a\hich\af1\dbch\af16\loch\f1 ny confidentiality, beta site, data provider, purchase, lease maintenance, support, service, distributor, reseller, or other agreement that exists, or is entered into, between Licensee and Custom Speech USA, unless expressly agreed to by Custom Speech USA \hich\af1\dbch\af16\loch\f1 .\hich\af1\dbch\af16\loch\f1 EXPORT RESTRICTIONS: Licensee shall not export or re-export the Software to any country, person, entity, or end user subject to U.S. export, embargo, or similar restrictions. End user or other party shall not install, copy, download, access, or use the \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 software, or open the software package in violation of any U.S. export restrictions. \par \par \hich\af1\dbch\af16\loch\f1 3.\tab TITLE. Licensee owns or leases the media upon which the Software is fixed and any accompanying printed materials. Intellectual property rights in the Software and D\hich\af1\dbch\af16\loch\f1 ocumentation remain with Custom Speech USA. \par \par \hich\af1\dbch\af16\loch\f1 4.\tab TERM. Software may be licensed for an unlimited or limited term. This License Agreement is effective from purchase or lease subscription start date and continues until expiration or termination. If su \hich\af1\dbch\af16\loch\f1 bject to expiration date, expiration controls shall cause Software not to operate after that date. \par \par \hich\af1\dbch\af16\loch\f1 5. \tab PAYMENT. If Software is obtained directly from Custom Speech USA, full payment, or payment based on usage or period of use, shall be made as Cust\hich\af1\dbch\af16\loch\f1 om Speech USA may require. Custom Speech USA retains a security interest in the Software and electronic media until full payment is received. It may (i) impose a finance charge of up to 1.5% per month on any balance due, (ii) exercise any rights allowed \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 by law or equity, or both (i) and (ii). \par \par \hich\af1\dbch\af16\loch\f1 6.\tab TAXES. Licensee shall pay sales taxes or other government charges, plus interest, resulting from entering into this License Agreement. \par \hich\af1\dbch\af16\loch\f1 \par \hich\af1\dbch\af16\loch\f1 7.\tab PROPRIETARY RIGHTS INDEMNIFICATION. If a claim is brought agains\hich\af1\dbch\af16\loch\f1 t Licensee that the Software or Documentation infringes a patent, copyright, or trade secret, Licensee shall provide Custom Speech USA with prompt written notice of the claim, provide such information about the claim and use of the Software or Documentati \hich\af1\dbch\af16\loch\f1 o\hich\af1\dbch\af16\loch\f1 n as Custom Speech USA may reasonably request, and allow Custom Speech USA to control the defense and settlement of the claim. Custom Speech USA reserves the right to modify or replace Licensee's Software or Documentation, or both, obtain a license, or \hich\af1\dbch\af16\loch\f1 o\hich\af1\dbch\af16\loch\f1 therwise resolve the infringement claim. Custom Speech USA shall have no obligation with respect to any infringement claim based upon Licensee's modification or alteration of the Software or Documentation. This Paragraph states Custom Speech USA's enti \hich\af1\dbch\af16\loch\f1 r\hich\af1\dbch\af16\loch\f1 e obligation and liability with respect to infringement of any patent, copyright, trademark, or trade secret. \par \par \hich\af1\dbch\af16\loch\f1 8.\tab LIMITED WARRANTY. THIS WARRANTY IS CONTINGENT ON LICENSEE'S PROPER USE OF THE SOFTWARE IN THE APPLICATION FOR WHICH IT WAS INTENDED. IT DOES NOT APPLY TO UNUSUAL MECHA \hich\af1\dbch\af16\loch\f1 N\hich\af1\dbch\af16\loch\f1 ICAL STRESS, ACCIDENT, MISUSE, ELECTRICAL POWER FAILURE, POWER SURGE, EXCESS HUMIDITY, OR OTHER CONDITION OUTSIDE OF NORMAL USE. (b) THE SOFTWARE AND DOCUMENTATION ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. (c) LICENSEE ACKNOWLEDGES THAT THE SOFTWARE OR DOCUMENTATION MAY NOT MEET ITS REQU \hich\af1\dbch\af16\loch\f1 I\hich\af1\dbch\af16\loch\f1 REMENTS, THAT OPERATION OF COMPUTER PROGRAMS IS NOT ERROR FREE, THAT SPEECH RECOGNITION AND TEXT-TO-SPEECH SOFTWARE MAKES MISTAKES, THAT IT IS THE USER'S RESPONSIBILITY TO FIND AND CORRECT THESE MISTAKES, AND THAT SECURITY OF DATA STORED IN SOFTWARE AND P \hich\af1\dbch\af16\loch\f1 R\hich\af1\dbch\af16\loch\f1 OTECTION AGAINST MALICIOUS CODE IS THE LICENSEE'S SOLE RESPONSIBILITY. "Malicious code" is defined as program code designed to contaminate other computer programs or computer data, consume computer resources, modify, destroy, record, or transmit data, o \hich\af1\dbch\af16\loch\f1 r\hich\af1\dbch\af16\loch\f1 in some other fashion disrupt the normal operation of the computer system, or computer network, including, but not limited to, viruses, worms, Trojan horses, droppers, and logic bombs. (d) Information contained in Software or Documentation is not warran \hich\af1\dbch\af16\loch\f1 t\hich\af1\dbch\af16\loch\f1 ed to be accurate, reliable, up-to-date, or complete. (b) Prior to return under warranty provision or for refund of Software in unopened package, Licensee shall obtain a return merchandise aut \hich\af1\dbch\af16\loch\f1 h\hich\af1\dbch\af16\loch\f1 orization (RMA) number, prepay shipping and insure the shipment, or assume all risk of loss in damage in transit, and provide a copy of dated proof of purchase or lease showing that the Software is under warranty. Refunds are subject to applicable Custom \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 Speech USA handling, restocking, or other charges. Additional rights concerning warranty, manufacturer liability, or remedies may be available to the Licensee in some jurisdictions. \par \par \hich\af1\dbch\af16\loch\f1 11.\tab DEFAULT. (a) If Licensee is in breach of any of its obligations, t\hich\af1\dbch\af16\loch\f1 hen Custom Speech USA may (i) terminate this Agreement and declare the unpaid balance due and payable immediately, (ii) exercise any other remedy at law or in equity, including the repossession, or both (I) and (ii). Licensee hereby acknowledges that monetary relief alone for any violation or attempted violation under Section 2 is inadequate. \par \par \hich\af1\dbch\af16\loch\f1 12.\tab TERMINATION. (a) This Agreement remains in effect until terminated. (b) License\hich\af1\dbch\af16\loch\f1 e may terminate at any time by providing written notice to Custom Speech USA, or transferring and assigning all rights in the Software and Documentation. (c) Custom Speech USA may terminate this License upon (i) Licensee's breach of any conditions of thi \hich\af1\dbch\af16\loch\f1 s\hich\af1\dbch\af16\loch\f1 License Agreement, or (ii) Licensee's violation of any law or regulation governing the use or transfer of the Software. Upon termination by Custom Speech USA, Licensee shall immediately return all copies of Software and Documentation and certify that th \hich\af1\dbch\af16\loch\f1 e\hich\af1\dbch\af16\loch\f1 Software, Documentation, copies, modifications, or alterations have been returned or destroyed. (d) Upon termination, Licensee shall immediately cease using the Software, return, at Licensee's expense, all copies of Software within 14 days of the writte \hich\af1\dbch\af16\loch\f1 n\hich\af1\dbch\af16\loch\f1 notice of termination, uninstall the Software from Licensee's computer, and send written notice to Custom Speech USA within 14 days that all items have been sent for return or destroyed. \par \par \hich\af1\dbch\af16\loch\f1 13.\tab SUPPORT. Customer, beta site, vendor, or developer support ma\hich\af1\dbch\af16\loch\f1 y be provided on such terms as Custom Speech USA elects to make available. Custom Speech USA may require registration, fee, or both. Price, terms, and availability of support are subject to change by Custom Speech USA without notice. Support terms ma \hich\af1\dbch\af16\loch\f1 y\hich\af1\dbch\af16\loch\f1 be defined in user manual, online documentation, or other materials. Response time and accuracy, reliability, and completeness of any information provided by support personnel, online documentation, or other materials cannot be guaranteed. Custom Speec \hich\af1\dbch\af16\loch\f1 h\hich\af1\dbch\af16\loch\f1 USA may use \hich\af1\dbch\af16\loch\f1 information concerning Software \hich\af1\dbch\af16\loch\f1 download and \hich\af1\dbch\af16\loch\f1 use\hich\af1\dbch\af16\loch\f1 , acquired from Licensee \hich\af1\dbch\af16\loch\f1 , its personnel, or other source,\hich\af1\dbch\af16\loch\f1 for product development, support, and other business purposes. Supplemental software provided to Licensee as part of support services, including \hich\af1\dbch\af16\loch\f1 new versions, \hich\af1\dbch\af16\loch\f1 patc\hich\af1\dbch\af16\loch\f1 hes\hich\af1\dbch\af16\loch\f1 , and other updates\hich\af1\dbch\af16\loch\f1 ,\hich\af1\dbch\af16\loch\f1 shall be\hich\af1\dbch\af16\loch\f1 considered part of the Software product subject to the terms and conditions of this Agreement. \par \par \hich\af1\dbch\af16\loch\f1 14.\tab OTHER RIGHTS.
