("Custom Speech USA"), a corporation, and the Licensee. In return for a license to use\hich\af1\dbch\af16\loch\f1 the Custom Speech USA software program and related files ("Software"), Licensee agrees to the following: \par \par \hich\af1\dbch\af16\loch\f1 1.\tab LICENSE. Licensee may use the Software on a single computer. Licensee may make a single copy of the Software and any printed materials accompany\hich\af1\dbch\af16\loch\f1 ing the Software ("Documentation") for archive or backup, provided that Licensee reproduces this License Agreement and any notice concerning patent, copyright, or trademark of Custom Speech USA. \par \par \hich\af1\dbch\af16\loch\f1 2.\tab RESTRICTIONS. Licensee shall not: (a) sell, sublicense\hich\af1\dbch\af16\loch\f1 , assign, rent, lease, loan, timeshare, give away, or otherwise transfer, distribute, or permit use of the Software by another party, unless Licensee transfers all copies of Software on a permanent basis and recipient agrees to the terms of this Agreement \hich\af1\dbch\af16\loch\f1 ;\hich\af1\dbch\af16\loch\f1 (b) install or use single license Software on more than one computer at a time, (c) reverse engineer, de-compile, or reduce the Software programming code to a human-perceivable form, (d) tamper with, disconnect, alter, or interfere with any equipment, d \hich\af1\dbch\af16\loch\f1 e\hich\af1\dbch\af16\loch\f1 vice, or software designed to restrict or monitor use of the Software by Licensee, (e) merge the Software, or any part, into another program, (f) use Software designated for development, demonstration, or evaluation for any other purpose, including, but n \hich\af1\dbch\af16\loch\f1 o\hich\af1\dbch\af16\loch\f1 t limited to, internal business use, or (g) solicit, hire, or employ any party known by licensee to be a current or previous Custom Speech USA employee or independent contractor, without the express written consent of Custom Speech USA. NETWORK OR SERVER \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 INSTALLATIONS: (a) If the Software is stored or installed to allow computers on a network to use or access the Software remotely, each computer on the network which uses the Software must have a separate license, except that Software may be accessed by a \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 non-licensed computer for testing, maintenance, support, or repair. (b) If the Software is for a server, it may be installed (i) on a standalone basis, such that the Software and functions are accessible only to the standalone machine and persons who are \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 physically present at the location of the single computer on which the Software and its client application are located, or (ii) on a network basis, such that the Software and functions are accessible across a network. Every client computer that can acces \hich\af1\dbch\af16\loch\f1 s\hich\af1\dbch\af16\loch\f1 or use the server Software across the network must have its own separate client license. LICENSE PACK: Software use may be subject to (i) registration or online activation, (ii) controls limiting use to a particular person, group, computer, or network, ( \hich\af1\dbch\af16\loch\f1 i\hich\af1\dbch\af16\loch\f1 ii) usage limits based on time period, number of times Software accessed by end-user or client application, or number of files or megabytes processed, or (iv) other controls. These controls, or any part thereof, may be contained within "license pack" or \hich\af1\dbch\af16\loch\f1 o\hich\af1\dbch\af16\loch\f1 ther such program as Custom Speech USA may use to limit or restrict access. OTHER AGREEMENTS: The License Agreement shall not be modified by any confidentiality, beta site, data provider, purchase, lease maintenance, support, service, distributor, resell \hich\af1\dbch\af16\loch\f1 e\hich\af1\dbch\af16\loch\f1 r, or other agreement that exists, or is entered into, between Licensee and Custom Speech USA, unless expressly agreed to by Custom Speech USA. EXPORT RESTRICTIONS: Licensee shall not export or re-export the Software to any country, person, entity, or en \hich\af1\dbch\af16\loch\f1 d\hich\af1\dbch\af16\loch\f1 user subject to U.S. export, embargo, or similar restrictions. End user or other party shall not install, copy, download, access, or use the software, or open the software package in violation of any U.S. export restrictions. \par \par \hich\af1\dbch\af16\loch\f1 3.\tab TITLE. Licensee owns o\hich\af1\dbch\af16\loch\f1 r leases the media upon which the Software is fixed and any accompanying printed materials. Intellectual property rights in the Software and Documentation remain with Custom Speech USA. \par \par \hich\af1\dbch\af16\loch\f1 4.\tab TERM. Software may be licensed for an unlimited or limited t\hich\af1\dbch\af16\loch\f1 erm. This License Agreement is effective from purchase or lease subscription start date and continues until expiration or termination. If subject to expiration date, expiration controls shall cause Software not to operate after that date. \par \par \hich\af1\dbch\af16\loch\f1 5. \tab PAYM\hich\af1\dbch\af16\loch\f1 ENT. If Software is obtained directly from Custom Speech USA, full payment, or payment based on usage or period of use, shall be made as Custom Speech USA may require. Custom Speech USA retains a security interest in the Software and electronic media u \hich\af1\dbch\af16\loch\f1 n\hich\af1\dbch\af16\loch\f1 til full payment is received. It may (i) impose a finance charge of up to 1.5% per month on any balance due, (ii) exercise any rights allowed by law or equity, or both (i) and (ii). \par \par \hich\af1\dbch\af16\loch\f1 6.\tab TAXES. Licensee shall pay sales taxes or other government charges,\hich\af1\dbch\af16\loch\f1 plus interest, resulting from entering into this License Agreement. \par \hich\af1\dbch\af16\loch\f1 \par \hich\af1\dbch\af16\loch\f1 7.\tab PROPRIETARY RIGHTS INDEMNIFICATION. If a claim is brought against Licensee that the Software or Documentation infringes a patent, copyright, or trade secret, Licensee shall prov\hich\af1\dbch\af16\loch\f1 ide Custom Speech USA with prompt written notice of the claim, provide such information about the claim and use of the Software or Documentation as Custom Speech USA may reasonably request, and allow Custom Speech USA to control the defense and settlemen \hich\af1\dbch\af16\loch\f1 t\hich\af1\dbch\af16\loch\f1 of the claim. Custom Speech USA reserves the right to modify or replace Licensee's Software or Documentation, or both, obtain a license, or otherwise resolve the infringement claim. Custom Speech USA shall have no obligation with respect to any infrin \hich\af1\dbch\af16\loch\f1 g\hich\af1\dbch\af16\loch\f1 ement claim based upon Licensee's modification or alteration of the Software or Documentation. This Paragraph states Custom Speech USA's entire obligation and liability with respect to infringement of any patent, copyright, trademark, or trade secret. \par \par \hich\af1\dbch\af16\loch\f1 8.\tab \hich\af1\dbch\af16\loch\f1 LIMITED WARRANTY. (a) Custom Speech USA warrants that media on which the Software is furnished to Licensee shall be free from defects in materials and workmanship under normal use for a period of 90 days from the date of delivery to Licensee. THIS WA \hich\af1\dbch\af16\loch\f1 R\hich\af1\dbch\af16\loch\f1 RANTY IS CONTINGENT ON LICENSEE'S PROPER USE OF THE SOFTWARE IN THE APPLICATION FOR WHICH IT WAS INTENDED. IT DOES NOT APPLY TO UNUSUAL MECHANICAL STRESS, ACCIDENT, MISUSE, ELECTRICAL POWER FAILURE, POWER SURGE, EXCESS HUMIDITY, OR OTHER CONDITION OUTSID \hich\af1\dbch\af16\loch\f1 E\hich\af1\dbch\af16\loch\f1 OF NORMAL USE. (b) THE SOFTWARE AND DOCUMENTATION ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CUSTOM SPEECH USA DISCLAIMS ALL WARRANTIES WITH REGARD TO THE SOFTWARE AND DOCUMENTATION, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHA \hich\af1\dbch\af16\loch\f1 N\hich\af1\dbch\af16\loch\f1 TABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR PERFORMANCE. (c) LICENSEE ACKNOWLEDGES THAT THE SOFTWARE OR DOCUMENTATION MAY NOT MEET ITS REQUIREMENTS, THAT OPERATION OF COMPUTER PROGRAMS IS NOT ERROR FREE, THAT SPEECH RECOGNITION AND TEXT-TO-SPEECH SOFTW \hich\af1\dbch\af16\loch\f1 A\hich\af1\dbch\af16\loch\f1 RE MAKES MISTAKES, THAT IT IS THE USER'S RESPONSIBILITY TO FIND AND CORRECT THESE MISTAKES, AND THAT SECURITY OF DATA STORED IN SOFTWARE AND PROTECTION AGAINST MALICIOUS CODE IS THE LICENSEE'S SOLE RESPONSIBILITY. "Malicious code" is defined as program \hich\af1\dbch\af16\loch\f1 c\hich\af1\dbch\af16\loch\f1 ode designed to contaminate other computer programs or computer data, consume computer resources, modify, destroy, record, or transmit data, or in some other fashion disrupt the normal operation of the computer system, or computer network, including, but \hich\af1\dbch\af16\loch\f1 n\hich\af1\dbch\af16\loch\f1 ot limited to, viruses, worms, Trojan horses, droppers, and logic bombs. (d) Information contained in Software or Documentation is not warranted to be accurate, reliable, up-to-date, or complete. (e) No warranty is available for new versions, upgrades, \hich\af1\dbch\af16\loch\f1 u\hich\af1\dbch\af16\loch\f1 pdates, or supplements, unless expressly further agreed to in writing by Custom Speech USA, except for supplements provided under support services, as described in Paragraph 13. (f) Price, terms, availability, and specifications of Software or Documenta \hich\af1\dbch\af16\loch\f1 t\hich\af1\dbch\af16\loch\f1 ion are subject to change without notice in new versions, upgrades, updates, or supplements. \par \par \hich\af1\dbch\af16\loch\f1 9.\tab LIABILITY. LICENSEE AGREES TO HOLD CUSTOM SPEECH USA, ITS OFFICERS, DIRECTORS, STOCKHOLDERS OR OTHER OWNERS, EMPLOYEES, OR INDEPENDENT CONTRACTORS HARMLESS F\hich\af1\dbch\af16\loch\f1 OR ALL DAMAGES ARISING FROM USE OF CUSTOM SPEECH USA SOFTWARE OR DOCUMENTATION. CUSTOM SPEECH USA AND THESE OTHER PARTIES WILL NOT BE LIABLE IN ANY SUIT BROUGHT BY ANY LICENSEE FOR ANY LOST PROFITS OR DAMAGES, INCLUDING WITHOUT LIMITATION ANY DIRECT, IND \hich\af1\dbch\af16\loch\f1 I\hich\af1\dbch\af16\loch\f1 RECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE OR DOCUMENTATION, OR BASED ON ANY CLAIMED NEGLIGENCE OR BREACH OF THIS AGREEMENT. \par \par \hich\af1\dbch\af16\loch\f1 10.\tab REMEDIES. (a) LICENSEE\hich\af1\dbch\af16\loch\f1 'S EXCLUSIVE REMEDY UNDER THIS LICENSE AGREEMENT SHALL BE LIMITED TO REPLACEMENT OF ANY ELECTRONIC MEDIA NOT MEETING THE "LIMITED WARRANTY" PROVIDED ABOVE AFTER RETURN TO CUSTOM SPEECH USA WITHIN THE WARRANTY PERIOD. CUSTOM SPEECH USA, IN ITS SOLE DISCRET \hich\af1\dbch\af16\loch\f1 I\hich\af1\dbch\af16\loch\f1 ON, MAY PROVIDE A CASH REFUND, OR REPAIR OR REPLACE THE PRODUCT. IF CUSTOM SPEECH USA CANNOT REPLACE SOFTWARE FREE OF DEFECTS IN MATERIALS OR WORKMANSHIP, THEN LICENSEE MAY TERMINATE THIS LICENSE BY RETURNING ALL COPIES OF THE SOFTWARE TO CUSTOM SPEECH U \hich\af1\dbch\af16\loch\f1 S\hich\af1\dbch\af16\loch\f1 A. (b) Prior to return under warranty provision or for refund of Software in unopened package, Licensee shall obtain a return merchandise authorization (RMA) number, prepay shipping and insure the shipment, or assume all risk of loss in damage in transit \hich\af1\dbch\af16\loch\f1 ,\hich\af1\dbch\af16\loch\f1 and provide a copy of dated proof of purchase or lease showing that the Software is under warranty. Refunds are subject to applicable Custom Speech USA handling, restocking, or other charges. Additional rights concerning warranty, manufacturer liabilit \hich\af1\dbch\af16\loch\f1 y\hich\af1\dbch\af16\loch\f1 , or remedies may be available to the Licensee in some jurisdictions. \par \par \hich\af1\dbch\af16\loch\f1 11.\tab DEFAULT. (a) If Licensee is in breach of any of its obligations, then Custom Speech USA may (i) terminate this Agreement and declare the unpaid balance due and payable immediately\hich\af1\dbch\af16\loch\f1 , (ii) exercise any other remedy at law or in equity, including the repossession, or both (I) and (ii). Licensee shall pay Custom Speech USA all costs incurred, including reasonable attorneys' fees, in exercising its rights or remedies. (b) If Licensee \hich\af1\dbch\af16\loch\f1 v\hich\af1\dbch\af16\loch\f1 iolates any restriction contained in Section 2, or attempts to do so, Custom Speech USA shall have the right to injunctive relief and any other remedies available in law or equity. Licensee hereby acknowledges that monetary relief alone for any violation \hich\af1\dbch\af16\loch\f1 \hich\af1\dbch\af16\loch\f1 or attempted violation under Section 2 is inadequate. \par \par \hich\af1\dbch\af16\loch\f1 12.\tab TERMINATION. (a) This Agreement remains in effect until terminated. (b) Licensee may terminate at any time by providing written notice to Custom Speech USA, or transferring and assigning all r \hich\af1\dbch\af16\loch\f1 ights in the Software and Documentation. (c) Custom Speech USA may terminate this License upon (i) Licensee's breach of any conditions of this License Agreement, or (ii) Licensee's violation of any law or regulation governing the use or transfer of the S \hich\af1\dbch\af16\loch\f1 o\hich\af1\dbch\af16\loch\f1 ftware. Upon termination by Custom Speech USA, Licensee shall immediately return all copies of Software and Documentation and certify that the Software, Documentation, copies, modifications, or alterations have been returned or destroyed. (d) Upon termi \hich\af1\dbch\af16\loch\f1 n\hich\af1\dbch\af16\loch\f1 ation, Licensee shall immediately cease using the Software, return, at Licensee's expense, all copies of Software within 14 days of the written notice of termination, uninstall the Software from Licensee's computer, and send written notice to Custom Speec \hich\af1\dbch\af16\loch\f1 h\hich\af1\dbch\af16\loch\f1 USA within 14 days that all items have been sent for return or destroyed. \par \par \hich\af1\dbch\af16\loch\f1 13.\tab SUPPORT. Customer, beta site, vendor, or developer support ma\hich\af1\dbch\af16\loch\f1 y be provided on such terms as Custom Speech USA elects to make available. Custom Speech USA may require registration, fee, or both. Price, terms, and availability of support are subject to change by Custom Speech USA without notice. Support terms ma \hich\af1\dbch\af16\loch\f1 y\hich\af1\dbch\af16\loch\f1 be defined in user manual, online documentation, or other materials. Response time and accuracy, reliability, and completeness of any information provided by support personnel, online documentation, or other materials cannot be guaranteed. Custom Speec \hich\af1\dbch\af16\loch\f1 h\hich\af1\dbch\af16\loch\f1 USA may use information concerning Software download and use, acquired from Licensee, its personnel, or other source, for product development, support, and other business purposes. Supplemental software provided to Licensee as part of support services, \hich\af1\dbch\af16\loch\f1 i\hich\af1\dbch\af16\loch\f1 ncluding new versions, patches, and other updates, shall be considered part of the Software product subject to the terms and conditions of this Agreement. \par \par \hich\af1\dbch\af16\loch\f1 14.\tab OTHER RIGHTS. All intellectual property rights in the Software and Documentation are the prope\hich\af1\dbch\af16\loch\f1 rty of Custom Speech USA. All rights not expressly granted are reserved to Custom Speech USA. \par \tab \par \hich\af1\dbch\af16\loch\f1 15.\tab HEADINGS NOT CONTROLLING. The paragraph headings contained in this Agreement are inserted for identification purposes only. They shall not be deemed a \hich\af1\dbch\af16\loch\f1 part of this Agreement for purposes of interpretation. \par \par \hich\af1\dbch\af16\loch\f1 16.\tab SEVERABILITY. If any provision in this Agreement shall be determined to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in \hich\af1\dbch\af16\loch\f1 any way be affected or impaired. \par \par \hich\af1\dbch\af16\loch\f1 17.\tab ENTIRE AGREEMENT. This Agreement is the only license agreement between Custom Speech USA and Licensee. Proof of Entitlement \par \par \hich\af1\dbch\af16\loch\f1 The Proof of Entitlement for this Program is evidence of your authorization to use this Program and of your eligibility for warranty services, future upgrade program prices (if announced), and potenti \hich\af1\dbch\af16\loch\f1 al special or promotional opportunities. \par \par \par \hich\af1\dbch\af16\loch\f1 3. Charges and Taxes \par \par \hich\af1\dbch\af16\loch\f1 IBM defines use for the Program for charging purposes and specifies it in the Proof of Entitlement. Charges are based on extent of use authorized. If you wish to increase the extent of use, n\hich\af1\dbch\af16\loch\f1 otify IBM or its reseller and pay any applicable charges. IBM does not give refunds or credits for charges already due or paid. \par \par \hich\af1\dbch\af16\loch\f1 If any authority imposes a duty, tax, levy or fee, excluding those based on IBM's net income, upon the Program supplied by IBM \hich\af1\dbch\af16\loch\f1 under this Agreement, then you agree to pay that amount as IBM specifies or supply exemption documentation. \par \par \par \hich\af1\dbch\af16\loch\f1 4. Limited Warranty \par \par \hich\af1\dbch\af16\loch\f1 IBM warrants that when the Program is used in the specified operating environment it will conform to its specifications. IBM \hich\af1\dbch\af16\loch\f1 does not warrant uninterrupted or error-free operation of the Program or that we will correct all Program defects. You are responsible for the results obtained from the use of the Program. The warranty period for the Program expires when its Program servi \hich\af1\dbch\af16\loch\f1 c\hich\af1\dbch\af16\loch\f1 es are no longer available. The License Information specifies the duration of Program services. \par \par \hich\af1\dbch\af16\loch\f1 During the warranty period warranty service is provided without charge for the unmodified portion of the Program through defect-related Program services. Progr\hich\af1\dbch\af16\loch\f1 am services are available for at least one year following the Program's general availability. Therefore, the duration of warranty service depends on when you obtain your license.
